Under no circumstances shall Quantum Insights be liable for any consequential, incidental, indirect, special, or punitive damages, regardless of whether we have been advised of the possibility of such damages. This exclusion applies to all claims, whether based on warranty, contract, tort, or any other legal theory.

3.4 Force Majeure Provisions

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to:

• Wars or armed conflicts
• Pandemics or epidemics
• Government actions or regulations
• Labor disputes or strikes
• Telecommunications failures
• Power outages
• Internet service disruptions
• Third-party service failures

3.5 Maximum Liability Cap

In jurisdictions where limitation of liability is permitted, our total aggregate liability for all claims arising from or related to these Terms and Conditions or your use of our services shall not exceed the greater of the amount you paid for the specific service giving rise to the claim, or ten thousand euros (€10,000).

4.1 Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of Cyprus, excluding its conflicts of law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these terms.

Any legal action or proceeding arising under these terms shall be brought exclusively in the courts located in Nicosia, Cyprus. You irrevocably consent to the personal jurisdiction and venue of such courts.

4.2 Dispute Resolution Procedures

In the event of any dispute, controversy, or claim arising from these Terms and Conditions, the parties agree to first attempt to resolve the matter through good-faith negotiations. If a resolution cannot be reached within thirty days, either party may pursue formal legal proceedings.

Negotiation Process: Before initiating formal proceedings, you agree to provide us with written notice of the dispute, including a detailed description of the issues and proposed resolution. We will respond within 15 business days to discuss potential solutions.

4.3 Severability Clause

If any provision of these Terms and Conditions is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that most closely reflects the original intent.

4.4 Terms Modification Policy

We reserve the right to modify these Terms and Conditions at any time. Material changes will be communicated through our website or via email if you have an active service agreement with us. Your continued use of our services after such modifications constitutes your acceptance of the updated terms.

If you do not agree with the modified terms, your sole remedy is to discontinue use of our services. For ongoing projects, we will work with you to address concerns about material changes that affect existing agreements.

5. Additional Legal Provisions

5.1 Entire Agreement

These Terms and Conditions, together with our Privacy Policy and any written service agreements, constitute the entire agreement between you and Quantum Insights regarding your use of our services. These terms supersede any prior agreements, understandings, or representations, whether written or oral.

5.2 No Waiver

Our failure to enforce any right or provision of these Terms and Conditions shall not constitute a waiver of that right or provision. No waiver shall be effective unless made in writing and signed by an authorized representative of Quantum Insights.

5.3 Assignment

You may not assign or transfer these Terms and Conditions or any rights granted hereunder without our prior written consent. We may assign these terms to any successor in interest in the event of a merger, acquisition, or sale of substantially all of our assets.

5.4 Survival

Provisions of these Terms and Conditions that by their nature should survive termination shall survive, including but not limited to provisions regarding intellectual property, confidentiality, disclaimers, limitations of liability, and dispute resolution.

5.5 Language

These Terms and Conditions are written in English. Any translation is provided for convenience only. In the event of any conflict between the English version and a translated version, the English version shall prevail.

5.6 Headings

Section headings in these Terms and Conditions are for convenience only and shall not affect the interpretation of any provision.
